Dormant company filing is a statutory requirement for UK limited companies that are not actively trading. Even if your company has had no business activity, you are still legally required to submit a Confirmation Statement and Dormant Company Accounts to Companies House each year.

Failure to file your confirmation statement within 14 days of the review period end date is a criminal offence. If the statement is not submitted on time, both the company and its officers may face prosecution, and Companies House may take steps to strike the company off the register.
Companies House applies automatic penalties for the late filing of company accounts. Duport cannot accept responsibility for any fines or penalties incurred as a result of overdue or incomplete statutory filings.
Dormant company accounts can be filed directly with Companies House free of charge using their online web-filing service. Confirmation Statement filing incurs a £50 filing fee when filed directly online with Companies House.
