So you know you want to form a Limited Company…but wait. There are a few pieces of information you will need to form your company.
What will my company be called?
- Limited companies must have a unique name
- The name can’t be too similar to any in existence
- You can check the availability of your company name
Who will own the company?
For each shareholder you will need to know the following:
- name
- address
- date of birth
- job title
- nationality
- town of birth
- telephone number
- security question – mother’s maiden name or father’s first name
Who are the directors?
Often the same as the shareholders, you will need to know:
- name
- address
- date of birth
- job title
- nationality
How many shares?
- We typically advise you register the minimum number of shares to provide you with the shareholding you want
- If two people want to own half the company each, allocate 2 shares (1 each)
- If three people want to own an equal share, allocate 3 shares
- If 1 person wants to own 90% to another with 10% , allocate 10 shares (and share them 9:1)
Registered office
- Your company must have an official address
- This is not necessarily where you will do business
- Official documentation will be sent to this address and it will be assumed you have received it
- If you rent a home you may need to check your lease to see if this is permitted
- You may use the registered address of your formation agent (us) or accountant (by agreement)
