There is no longer a legal requirement to appoint a company secretary, however companies with only one director will often require a second signature on legal documentation (for example when you open a bank account). If you do not appoint a company secretary this documentation will need to be signed by an appointed witness and many companies are still opting to appoint a company secretary.

This service is ideal for contractors, consultants or professionals who work alone but want the cover of being a limited company. It is also valuable for people who live outside Britain and want a signatory within the UK, if you are unfamiliar with UK legal requirements or terminology, or even if you just hate completing forms!

When you appoint Duport as your company secretary you can rest assured that the company is in good hands. We will look after compliance issues, ensure that your company remains in “good standing” with Companies House, will maintain the statutory register, and complete and file the confirmation statement on behalf of the company - which includes payment of the official filing fee. This includes a total 3 pieces of non-financial filing a year.

Important Notes

Duport provide a company secretary and registered office service to clients at its discretion. To legally provide this service in accordance with UK money laundering regulations you will be asked to supply identification verifying your identity.

The Director is responsible for providing correct information and indemnifies Duport Associates Limited against all liability for false or inaccurate declarations based on information provided to, or withheld from us.

The director(s) must inform Duport of changes to contact information. If mail or other correspondence is returned undelivered we will be obliged to inform the appropriate authorities that we have lost contact with your company.

A renewal invoice is issued each year several weeks prior to the renewal date. If payment is not received this service ceases and Duport will resign from this role and notify Companies House.

The client is free to appoint a replacement company secretary at any time if circumstances change whereupon Duport Associates Limited will resign with no further charges.
