There is no longer a legal requirement to appoint a company secretary, however companies with only one director will often require a second signature on legal documentation (for example when you open a bank account). If you do not appoint a company secretary this documentation will need to be signed by an appointed witness and many companies are still opting to appoint a company secretary.

If you do not have a suitable person to act as your company secretary, Duport Associates can provide this for you.

This service is ideal for contractors, consultants or professionals who work alone but want the cover of being a limited company. It is also valuable for people who live outside Britain and want a signatory within the UK, if you are unfamiliar with UK legal requirements or terminology, or even if you just hate completing forms!

When you appoint Duport as your company secretary you can rest assured that the company is in good hands. We will look after compliance issues, ensure that your company remains in “good standing” with Companies House, will maintain the statutory register, and complete and file the annual return on behalf of the company - which includes payment of the official filing fee.

We also cover the reasonable cost of handling official company documents, which will be sent via the normal postal service (this does not include the handling of trade correspondence or the use of express or courier services except where agreed and paid for separately and in advance).

Duport provide a company secretary and registered office service to clients at its discretion. To legally provide this service in accordance with UK money laundering regulations you will be asked to supply identification verifying your identity. We recommend you view a copy of the letter you will receive requesting this information.

The Director is responsible for providing correct information and indemnifies Duport Associates Limited against all liability for false or inaccurate declarations based on information provided to, or withheld from us.

The director(s) must inform Duport of changes to contact information. If mail or other correspondence is returned undelivered we will be obliged to inform the appropriate authorities that we have lost contact with your company.

A renewal invoice is issued each year several weeks prior to the renewal date. If payment is not received this service ceases and Duport will resign from this role and notify Companies House.

The client is free to appoint a replacement company secretary at any time if circumstances change whereupon Duport Associates Limited will resign with no further charges.

If a new company secretary is to be appointed it is essential to notify Companies House on Form 288a. Copies of this form will be provided on request.
